HEADLINER TERMS
Terms of Use for the New Graduate and Career Change Agent Service
These Terms of Use (the "Terms") set out the conditions for using the new graduate and career change agent service (the "Service") provided by Headliner合同会社 (the "Company"). A job seeker (a "Job Seeker") is deemed to have agreed to these Terms upon registering for and using the Service.
Article 1 (Definitions)
"Service" means the matching support service between job seekers and hiring companies that the Company provides under its fee-charging employment placement business (licensed by the Minister of Health, Labour and Welfare).
"Job Seeker" means any individual who registers for the Service seeking support with employment or a career change.
"Hiring Company" means a company that has entered into a contract with the Company and is carrying out recruitment activities.
"Referral" means the act by which the Company provides information to a Hiring Company based on a Job Seeker's preferences, background and similar details, and thereby creates an opportunity for the Job Seeker to be considered.
Article 2 (Contents of the Service)
The Company provides the following services to Job Seekers free of charge. As a fee-charging employment placement business under the Employment Security Act, the Company receives referral fees from Hiring Companies.
Provision of job information and referrals
Support with preparing resumes, work history documents and similar materials
Interview preparation and career consultation
Scheduling with Hiring Companies and negotiation of conditions on the Job Seeker's behalf
Article 3 (Application, Amendment and Notice)
These Terms apply to all use of the Service by Job Seekers.
The Company may amend these Terms where there is a reasonable need to do so, and the amendment takes effect upon being posted on the Company's website or within the Service.
Notices from the Company are given by sending them to the registered email address, by posting them on the Company's website or official social media accounts, or by any other method the Company deems appropriate, and are deemed to have been received.
Article 4 (Registration)
A person wishing to use the Service shall apply for registration by the method prescribed by the Company. The Company may refuse or cancel a registration in the following cases.
Where false information has been registered
Where there has been a past breach of these Terms
Where the Company otherwise deems the registration inappropriate
Article 5 (Accuracy of Information and Duty to Confirm)
Job Seekers shall keep their registered information (name, education, work history, qualifications, status of residence and the like) accurate and up to date. The Company bears no liability whatsoever for damage arising from the registration of false information. Job Seekers shall confirm the terms of the job and the working conditions for themselves before applying.
Article 6 (Prohibited Conduct)
Job Seekers shall not engage in the following conduct.
Unauthorised reproduction, copying or redistribution of information obtained through the Service, or its reuse for commercial purposes
Conduct that obstructs the business of the Company or of a Hiring Company
Involvement with organised crime groups or similar entities
Harmful conduct such as viruses or spam, or obstruction of operations
Cooperating in wrongdoing by a Hiring Company (such as concealing the fact of a hiring, or posting false job listings)
Any other inappropriate conduct equivalent to the foregoing
Article 7 (Rights in Content)
Rights in the video, images, text and other material provided through the Service belong to the Company or to the rightful rights holder. Job Seekers shall not use such material beyond the scope of private use.
Article 8 (Deletion of Information and Suspension of Use)
Where the Company determines that a Job Seeker's conduct breaches these Terms, or that there is a risk of infringement of rights or of wrongdoing, the Company may delete the registration, restrict use or take any other necessary measure without prior notice.
Article 9 (Personal Information)
The Company handles personal information such as registered information and usage information appropriately in accordance with its Privacy Policy.
A Job Seeker's personal information is provided only to those Hiring Companies to which the Job Seeker has consented.
Job Seekers may at any time request disclosure, correction or deletion of their registered information.
Article 10 (Change, Suspension and Termination of the Service)
The Company may change the contents of the Service, suspend it temporarily or terminate it without prior notice for maintenance, failures, circumstances affecting external services, compliance with laws and regulations, or other unavoidable reasons.
Article 11 (Disclaimer)
The Company bears no liability whatsoever in relation to the use or inability to use the Service, or to any transaction or dispute arising between a Job Seeker and a third party (such as a Hiring Company).
Except where the Company has acted with intent or gross negligence, any liability of the Company for damages is limited to direct and ordinary damage actually incurred.
Article 12 (Exclusion of Organised Crime Groups)
Job Seekers represent and warrant that they do not fall within, and are not involved with, organised crime groups. If a breach comes to light, the Company will immediately suspend use of the Service.
Article 13 (Severability)
Even if part of these Terms is held invalid or unenforceable, the remaining parts remain in full force and effect.
Article 14 (Survival)
Article 5, Articles 6 through 8, Articles 9 through 11 and Articles 13 through 15 survive the termination of the Service.
Article 15 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan, and the Tokyo District Court or the Tokyo Summary Court shall be the exclusive court of first instance by agreement for any dispute.
